訂金與定金

「訂金」與「定金」在日常生活中的含義一般說來是等同的,即二者為等義關系。因此,《現代漢語詞典》(商務印書館1996)解釋「訂金」時說「定錢。也作定金。」解釋「定金」時說「同『訂金』。」而所謂「定錢」,按《現代漢語詞典》的釋義,是指「購買或租賃時預先付給的,作為成交的保證」。這也就是說,在日常生活中凡是預先付給的,作為成交保證的錢既可以說「訂金」也可以說「定金」。

其實從現行法律上說「訂金」與「定金」的性質並不相同。「訂金」屬於預先支付的一部分價款,不具備擔保的性質,而「定金」則具備擔保的性質,並且有嚴格的設立條件。依據擔保法的規定,當事人可以約定一方向對方給付定金作為債權的擔保,債務人履行債務後,定金應當抵作價款或者收回。由於二者法律性質有別,因而在不履行約定時法律處理上差異較大:對「定金」而言,給付定金的一方不履行約定的債務時,無權要求返還定金;收取定金的一方不履行約定的債務時,應當雙倍返還定金。然而對於「訂金」而言,如果收取訂金的一方不能履行約定,交付訂金的一方只可要求返還訂金而不能要求雙倍返還。換言之,「定金」具備法律效力,而「訂金」則不具備法律效力。
